Terms of Service

Effective and last updated October 30, 2026

Overview

These Terms of Service ("Terms") are an agreement between you and [Company name] ("FlameFolio", "we", "us"). They cover our website, the founding-member waitlist and the FlameFolio app (together, the "Services"). You accept them when you join the waitlist, create an account or buy a plan, each of which asks you to agree. Our Privacy Policy explains how we handle your information.

Please note: section 10 requires most disputes to be resolved by individual arbitration and waives class actions. You can opt out within 30 days, as described there.

1. The Services and Eligibility

FlameFolio is a retirement planning and personal finance tool: plans built from your own numbers or linked accounts, year-by-year tax projections, stress tests against historical markets, and money tracking.

You must be at least 18, or the age of majority where you live if that is higher, and able to form a binding contract. The Services are offered only in the United States and are built around US tax rules. You may not use them if you are located in a country under US sanctions or are on a US government list of restricted persons.

2. Your Account

You are responsible for keeping your password and passkeys secure and for activity under your account. Your data is encrypted with a key derived from your password, so if you lose your password we cannot recover your data.

Only connect bank, card, brokerage, exchange, wallet or email accounts that you own or are authorized to access.

3. Plans, Billing and Founding Members

Free, Plus and Pro plans are described on our pricing page. Before you buy, checkout shows the price, how often you'll be charged, and that the plan renews automatically until you cancel; you buy only after agreeing to that. We email you a confirmation with the same terms and how to cancel.

Paid plans renew automatically at the end of each billing period at the price then in effect. Pro is billed yearly; Plus is billed monthly or yearly. For yearly plans, we email you a reminder 15 to 45 days before each renewal. You can cancel online at any time, in the app, as easily as you signed up; your plan stays active until the end of the period you have paid for. If we raise a price, we email you at least 30 days before it applies to your renewal, and you can cancel before then.

Except where the law requires otherwise or we say so at checkout, payments are non-refundable. Taxes may be added where they apply.

Joining the waitlist is free and does not oblige you to buy anything. Invites go out in batches in the order people joined, and each invite can be claimed for 48 hours before the spot passes to the next person. We set aside some founding spots for early testers and people we invite directly, and we may remove duplicate or fraudulent signups.

Founding price. A founding member keeps the founding price for Pro for as long as the membership renews without a break and we offer Pro. A break means cancelling, switching to another plan, or a renewal payment that isn't made good within 14 days of failing. The founding price covers Pro as it changes over time, including features we add to it. It is personal to you and can't be transferred or sold.

4. Not Financial, Tax or Legal Advice

FlameFolio is a planning tool for general information and education. We are not a registered investment adviser, broker-dealer, financial planner, tax preparer, accountant or law firm, and using the Services does not create an advisory or professional relationship with us. Nothing in the Services is a recommendation to buy, sell or hold any security or to take any financial, tax or legal action.

Projections, stress tests, success rates and tax figures are illustrations, not predictions or promises. They depend on the assumptions and data you provide, on tax rules that change, and on historical market returns that may not repeat and may contain errors. Your actual results will differ, and the difference may be large.

Tax figures are estimates and are not for filing a return. Social Security, Medicare, ACA and other benefit amounts are estimates, not official determinations; check them with the agency. The AI assistant gives general information, not personal recommendations. Check important decisions with a qualified professional and with the original institution's records.

If you use the Services to help other people, for example as an adviser, planner or coach, you are responsible for holding any licenses your work requires, for your advice and disclosures to your clients, and for any claims they bring. You must have your clients' permission to enter their information and follow the privacy rules that apply to you, such as the Gramm-Leach-Bliley Act and Regulation S-P. For client information, we act only as your service provider. Don't present the Services' outputs to anyone as guaranteed.

5. Connected Services and AI Features

When you link an account, you authorize us and our data providers, such as Plaid and SimpleFIN, to access that account's information on your behalf and as you direct, for use in the Services. Plaid's handling of your data is described in its End User Privacy Policy (https://plaid.com/legal/#end-user-privacy-policy). Your use of these providers, and of exchanges and blockchain data providers, is also governed by their terms. Data from them may be delayed, incomplete or wrong, and we are not responsible for their services.

For exchanges, create read-only API keys. Never give us keys that can trade or withdraw funds; if you do, you are responsible for any resulting loss.

Optional AI features use the AI provider you configure, under your agreement with that provider. AI output can be wrong; review it before relying on it.

6. Rights We Grant You and Acceptable Use

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Services for your own planning, subject to these Terms.

You agree not to: break the law using the Services; access accounts or data that aren't yours; interfere with or disrupt the Services; probe or bypass security; scrape or use automated tools without our permission; reverse engineer the Services except where the law allows; copy the Services to build a competing product; or resell or share access to a paid plan.

7. Your Content and Our Intellectual Property

You own the information you put into the Services. You give us a limited license to store, process and display it only as needed to provide the Services to you, as described in the Privacy Policy.

FlameFolio, its software, design, text and the FlameFolio name and logo belong to [Company name]. If you send us feedback or ideas, you give us a permanent, irrevocable, royalty-free right to use them for any purpose, without owing you anything.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT PROJECTIONS, TAX FIGURES OR LINKED DATA WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability and Indemnity

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SAVINGS, INVESTMENT LOSSES, TAX PENALTIES OR LOST DATA, ARISING FROM THE SERVICES OR FROM DECISIONS MADE USING THEM. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE SIX MONTHS BEFORE THE CLAIM.

Some states don't allow some of the exclusions or limits in sections 8 and 9, so some of them may not apply to you, and you may have other rights under your state's law. Nothing in these Terms limits liability for gross negligence, fraud or willful misconduct, or any liability that can't be limited by law.

You agree to indemnify us against third-party claims, and the resulting losses and reasonable costs, arising from your violation of the law, of someone else's rights, or of these Terms. We will tell you promptly about any such claim, and you may control its defense with counsel reasonably acceptable to us.

10. Dispute Resolution

Try us first. Before starting arbitration or a lawsuit, send a written description of the dispute to [contact email]. We'll try to resolve it informally within 30 days, and so will you.

Arbitration. Except for small-claims cases and requests to stop infringement of intellectual property, any dispute between you and us about the Services or these Terms that isn't resolved informally will be decided by binding individual arbitration administered by JAMS under its consumer rules, rather than in court. The Federal Arbitration Act governs this section. The arbitrator decides all questions about whether a dispute must be arbitrated, except as stated below for the class action waiver and public injunctive relief. If you start arbitration, you pay no more than the filing fee you would pay to start a case in court, and we pay the remaining arbitration fees, unless the arbitrator finds your claim frivolous.

Class action waiver. You and we each agree to bring claims only individually, not as a plaintiff or class member in any class, collective or representative proceeding. If a court decides this waiver can't be enforced for a claim, that claim goes to court, never to class arbitration, and only a court decides whether this waiver is enforceable.

Public injunctive relief. A request for an injunction that benefits the general public, where the law doesn't allow it to be waived, will be decided by a court after any arbitrable claims are resolved in arbitration.

Many similar claims. If 25 or more claims that are substantially similar are filed against us by or with the help of the same lawyers or organizations, they will be administered in batches of up to 25, with one arbitrator per batch, and each side pays only its share of fees for each batch.

Court. Any dispute that isn't arbitrated will be heard only in the state or federal courts located in [State], and you and we consent to their jurisdiction. Small-claims cases can be brought in the small-claims court where you live.

Opt-out. You can opt out of this section by sending written notice to [contact email] or to [Mailing address] within 30 days of first agreeing to these Terms. Include your name and the email address on your account or waitlist signup.

Future changes. If we change this section, the change applies only to disputes that arise after it takes effect, and you can reject it by writing to us within 30 days of the change.

11. Additional Provisions

Electronic notices. You agree that we can send you agreements, notices and other communications by email or in the app, and that these satisfy any requirement that they be in writing. Keep your email address current.

Changes. We may update these Terms and will change the date at the top when we do. If a change is material, we will tell you in the app or by email before it takes effect. Continuing to use the Services after an update means you accept it, except as stated in section 10 for dispute resolution.

Changes to the Services. We may add, change or remove features. If a change takes away a major feature of a paid plan you're on, we will tell you in advance where we reasonably can.

Termination. You can stop using the Services and delete your data at any time. We may suspend or end access if you break these Terms, don't pay, or if the law requires it, and we may stop offering the Services with at least 30 days' notice. If we end a paid plan for reasons other than your breach, we will refund the unused part of your current period. After an account is closed, we delete its data within 60 days unless the law requires us to keep it. Sections 3 (for amounts owed), 4, 7, 8, 9, 10 and 11 continue to apply after your account closes.

Security incidents. If a security incident affects your personal information, we will tell you without undue delay, as the law requires.

Events beyond our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as outages at our providers, natural disasters, war or changes in law.

Governing law. These Terms are governed by the laws of the State of [State], without regard to conflict-of-law rules, except that the Federal Arbitration Act governs section 10. This doesn't take away protections you have under the consumer laws of the state where you live.

California residents. You can reach the Complaint Assistance Unit of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.

General. These Terms, together with anything you agree to at checkout, are the entire agreement between you and us about the Services. If part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.

Contact and notices. Send legal notices to [Company name], [Mailing address], with a copy to [contact email]. We send notices to the email address on your account or waitlist signup.
